Terms of Service

1. About these terms
Gigsemble is operated by Faded Eden LLC, a Virginia limited liability company, doing business as Gigsemble ("Gigsemble," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of Gigsemble. By creating an account or using Gigsemble, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use Gigsemble.
2. Who can use Gigsemble
You must be at least 13 years old to use Gigsemble. If you are under the age of majority where you live, you may use Gigsemble only with a parent's or guardian's permission.
3. Your account
You agree to give an accurate email address and to keep your password secure. You are responsible for activity on your account. If you think someone has used your account without permission, let us know right away.
4. Bands, roles, and shared content
- When you create a band, you become its owner.
- Owners and admins can add and remove members, send invitations, and create, change, or delete band events.
- Only the owner can manage gig details, gig money records, and billing.
- Depending on the band's setting, setlists can be edited by band leaders only or by every member.
- Everything added to a band is shared with that band's active members, so only add information you're comfortable sharing with your bandmates.
- Band owners and admins are responsible for who they invite and keep in their band.
5. Invitations
Only invite people you know who would expect to hear from you. Each invitation link works once and expires after 14 days. Do not share invitation links publicly.
6. Your content
You keep ownership of everything you add to Gigsemble ("your content"), including availability, notes, setlists, and uploaded files. You give Faded Eden LLC permission to store, copy, process, and display your content only as needed to run Gigsemble and show it to your band. You confirm that you have the right to upload and share your content, including any recordings, documents, or images.
7. Acceptable use
You agree not to:
- upload or share anything illegal or harmful, anything that harasses others, or anything that infringes someone else's rights;
- upload viruses or other harmful code;
- try to access bands, accounts, or information you are not permitted to see;
- send spam or unwanted invitations;
- interfere with, overload, or disrupt Gigsemble;
- copy, resell, or reverse engineer Gigsemble, except where the law allows it.
8. Gig money tools
Gigsemble's gig money features are for record-keeping only. They do not send, receive, or hold money between band members, and Gigsemble does not give financial, tax, or legal advice. You and your band are responsible for checking your own figures and for any payments between band members.
9. Price and billing
- Band subscription. Each band needs its own paid subscription, currently US$28 per month. The band owner is billed. Invited band members do not pay.
- Free trial. Each new band comes with a 14-day free trial, and you don't need a payment card to start it. If the trial ends and the owner hasn't subscribed, nothing is charged and the band becomes read-only.
- Subscribing during the trial. If the owner subscribes before the trial ends, the remaining trial days are kept. The first US$28 charge happens when the trial ends.
- Canceling during the trial. If the owner subscribes during the trial and then cancels before it ends, no charge is made. The band stays fully usable until the trial ends and then becomes read-only.
- Canceling a paid subscription. The band owner can cancel at any time from Manage billing. Cancellation takes effect at the end of the current paid billing period. The band stays fully usable until then, no further charges are made, and the band becomes read-only afterward.
- Read-only bands. A band becomes read-only if its trial ends without a subscription, if a payment fails, or if its subscription ends. Members can still view the band's information and open or download its files, but changes are turned off until the owner subscribes or fixes billing.
- Renewal. Subscriptions renew automatically each month until cancelled. By subscribing, you authorize us to charge the payment method you provide for each billing period.
- Refunds. We do not give refunds or credits for partial billing periods, except where the law requires it.
- Failed payments. If a payment fails, the band becomes read-only until the owner updates billing and the payment goes through.
- Payment processing. Stripe processes payments. We never receive or store your full payment card details.
- Price changes. We will give you advance notice before any price change applies to your subscription.
10. Changes to Gigsemble
We keep improving Gigsemble, and we may add, change, or remove features at any time. Gigsemble may sometimes be unavailable for maintenance or because of problems outside our control.
11. Ending your use
You may stop using Gigsemble at any time. To ask us to delete your account, email support@gigsemble.com. We may suspend or end your access if you break these Terms, or if we need to in order to protect Gigsemble, our users, or others.
12. Disclaimers
Gigsemble is provided "as is" and "as available." To the fullest extent the law allows, Faded Eden LLC makes no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that Gigsemble will be error-free or always available. We also do not promise that information in it, such as availability or gig details entered by band members, is accurate.
13. Limitation of liability
To the fullest extent the law allows, Faded Eden LLC and its owners, employees, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Gigsemble, or your inability to use it. This includes any loss of data, profits, revenue, goodwill, or opportunities, even if we were told such damages were possible.
To the fullest extent the law allows, Faded Eden LLC is not responsible for content added by other users, for decisions or arrangements made between band members, or for gig money figures entered into Gigsemble.
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law. Some places do not allow certain limitations, so some of these limits may not apply to you.
14. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules, except where the law of the place where you live requires otherwise.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the effective date at the top of this page. If the changes are significant, we will take reasonable steps to let you know. If you keep using Gigsemble after changes take effect, you accept the updated Terms.
